1. Contractual Relationship Between Users and CanFare

1.1. Definition of Contractual Relationship
The contractual relationship between you (the user) and CanFare begins when you register on the platform and start using its services. This relationship remains active for the duration of your use of the services and encompasses all terms outlined in this agreement. By accepting this agreement, you are legally bound to comply with all its terms and conditions.
1.2. Requirement to Agree to the Terms
By accepting and using CanFare’s services, you acknowledge that you have agreed to all the terms and conditions of this agreement. This acceptance is automatically established upon registration or by starting to use the services. At any time and under any circumstances where you use CanFare's services, it is considered that you accept any changes or updates made to this agreement.
1.3. Changes to the Agreement
CanFare reserves the right to modify this agreement at any time. These changes may include updates to the terms of service, pricing, responsibilities, and other sections. The new version of the agreement will automatically replace the previous version once the changes are implemented. CanFare will notify users about these changes; however, it is your responsibility to regularly review the agreement and stay informed of any updates.
1.4. Specific Conditions for Using the Services
Under certain circumstances, CanFare may restrict or suspend access to its services. Such conditions may include discrepancies in user information, violations of current laws and regulations, or any misconduct by users. If your account is suspended or restricted for any reason, you will not be able to use CanFare’s services, and CanFare will bear no liability in such cases.
1.5. Exclusive Agreement
This agreement constitutes an exclusive, legally enforceable contract between you and CanFare, covering all rules and regulations for using the CanFare platform. You may not transfer this agreement to another person or use the platform’s services unlawfully.

2. CanFare Services

2.1. Description of Transportation Services
CanFare is an AI-driven platform that enables users (both passengers and drivers) to intelligently book rides. The services include searching for and requesting rides, setting prices, selecting drivers, and making online payments. All CanFare services are provided with a focus on safety and security, and all interactions on the platform are monitored by AI systems to enhance the user experience.
2.2. Special Services for Drivers Drivers
using CanFare can manage their access to passengers flexibly. These services include receiving ride requests based on geographic location and time. Drivers also benefit from features like greater transparency compared to other platforms and special rewards for providing high-quality services. Drivers must adhere to CanFare's guidelines and continuously monitor their behavior to maintain service standards.
2.3. Special Services for Passengers
Passengers can use CanFare’s services to book rides with transparent and adjustable pricing. These services allow passengers to customize costs based on their needs and preferences, offering a comfortable and worry-free experience. Passengers also enjoy special discounts and a variety of options tailored by the platform’s AI systems.
2.4. Quality Monitoring of Services
To ensure the quality of services provided by both drivers and passengers, CanFare utilizes advanced monitoring systems. Monitoring includes assessing driver behavior, passenger satisfaction, and the technical conditions of rides. In the event of any issues or complaints regarding service quality, CanFare reserves the right to take actions such as suspending or blocking user accounts.
2.5. Special Conditions of Services
Under certain circumstances, such as changes in geographic location, natural crises, or technical issues, CanFare may limit or suspend its services. In such cases, CanFare will not be held liable for any damages or changes in service accessibility.

3. Use of CanFare Services and User Account

3.1. Account Registration and Creation Process
To use CanFare's services, you must first create a user account. You are required to provide accurate and truthful information during registration, including your full name, a valid email address, phone number, and verifiable identity details. By proceeding, you consent to receiving voice calls, video calls, WhatsApp, or SMS/RCS messages, including automated messages, from CanFare and its affiliates to the number you provide. CanFare reserves the right to restrict access to services or suspend your account if the provided information is found to be inaccurate or invalid.
3.2. User Responsibilities for Account Usage
After creating an account, you are responsible for maintaining the security of your account information and preventing unauthorized access. This includes periodic password changes, using secure login methods, and promptly notifying CanFare in the event of any unauthorized access to your account. You must use your account only for lawful purposes and in compliance with CanFare’s terms of service.
3.3. Account Usage Limitations
A CanFare user account is intended for personal and non-commercial use only. You may not use your account for commercial activities, sending spam, or any purposes that violate the terms and conditions of this agreement. Additionally, you are obligated to use your account for legal and respectful activities, avoiding any actions that could harm the platform or its users.
3.4. Account Management
To ensure security and transparency, CanFare may limit access to user accounts if any violations or improper use are detected. In such cases, you must comply with CanFare's policies, and the platform will not be held liable. Furthermore, CanFare reserves the right to temporarily or permanently suspend your account if you breach the terms of this agreement.
3.5. Account Deletion
If you no longer wish to use CanFare’s services, you may request the deletion of your account through the support section. Once your request is confirmed, your account will be removed from the system. Please note that after account deletion, your access to all platform services and features will be terminated, and your data will be deleted in accordance with CanFare’s privacy policy. However, transaction records, sent and received messages, and any information that may be subject to claims by other users or required by legal authorities will be retained for up to 2 years. If you request data deletion, this information will be erased after the legal retention period. Should you re-register on the system before the aforementioned data is deleted, you may have access to some of your previous information.

4. Payments and Taxes

4.1. How Payments Are Processed

Passengers are required to pay for the trip before it starts, and the payment is automatically processed through the online payment system. The cost may include the base fare, additional charges (such as detours or route changes), and other fees (such as seasonal surcharges or special discounts). The full amount is transparently displayed at the time of booking, and no hidden fees will be applied without informing the passenger.
4.2. Rates and Service Fees
CanFare transparently communicates all costs and rates to users when using the services. These rates may vary depending on the type of service requested and the geographical location. The rates announced by CanFare may include the following:
· Trip Fare: The primary cost of the trip based on distance and time.
· Additional Charges: Fees that may arise during the trip, such as route changes, increased traffic, or waiting charges.
· Discounts and Special Offers: CanFare may offer discounts to passengers and drivers, reducing the payment amount for passengers while increasing earnings for drivers.
· Special Fees: Fees related to specific conditions (e.g., long-distance trips, nighttime travel).
· Third-party Fees: Charges that may be required due to various reasons, including local laws, banking regulations, federal laws, etc., such as taxes, banking processing fees, travel insurance, municipal fees, and other costs. These may be payable by either the passenger or the driver, depending on legal requirements.CanFare does not earn any financial profit from these payments. Except for third-party fees (where CanFare has no role in setting the amount), rates are determined by CanFare based on principles of transparency, fairness, and regular updates. Additionally, CanFarereserves the right to change rates in response to market conditions, with such changes being communicated to users via in-app notifications or email.
4.3. Commissions and Driver Payments
Drivers do not receive payments directly from passengers. Instead, the CanFare system deducts a percentage of the total trip fare as a commission from the drivers. The commission rate depends on the type of service, geographical location, and other factors, which may vary under different conditions.
The commission amount is transparently communicated to drivers before each trip. Drivers are also responsible for paying income taxes on their earnings from trips, and they are solely responsible for calculating and paying their taxes. In specific cases, CanFare, with the driver's consent, may deduct taxes directly from the driver's earnings and pay them to the government or state where the trip originated. In the future, this tax payment might include an additional fee, which will be communicated to the driver.
CanFare may also reduce the commission percentage under special circumstances (such as during promotions or special offers). Such changes will be notified to drivers via in-app announcements or email.
4.4. Financial Processing and Payments
All financial transactions, including payments from passengers to drivers, are exclusively conducted through CanFare's secure and approved payment processing system. No cash payments or transactions outside this system are allowed. This payment system is provided by one or more reputable payment service providers that fully comply with international security standards. CanFare does not store or process banking information such as card numbers or cardholder names; all processing is handled through secure international payment gateways.
Passengers and drivers must ensure their payment information is valid and up to date. If, for any reason, a payment fails or is delayed, CanFare reserves the right to prevent or cancel the trip. Additionally, users must enter accurate credit card information to avoid errors or delays in processing payments.
4.5. Refunds and Trip Cancellations
If a trip is canceled or any issue arises during the trip, CanFare may refund a portion of the amount to the passenger or driver. The refund amount will depend on the cancellation timing, specific conditions, and reasons for the cancellation:
· If the trip is canceled entirely before it starts or within a set cancellation period, the passenger may receive a full refund.
· If the cancellation is initiated by the driver before the trip begins, the passenger may receive a full refund.
· In other scenarios, depending on the type of cancellation, a partial or no refund may be issued to the passenger. CanFare's refund policies are clearly outlined in its terms and conditions, and users are required to comply with these policies.

5. Privacy and Data Security

5.1. Collection of Personal Information
CanFare requires the collection of personal information from users to provide optimal services. This data, subject to legal regulations, may be stored on CanFare's data centers or third-party services and includes:
· Identification Information: Name, phone number, email address, date of birth, and other identification details.
· Financial Information: Details of credit/debit cards, bank accounts, or other supported payment methods.
· Travel Information: Details such as geographical location, travel dates and times, costs, and other specifics related to trips.
· Device and Communication Information: CanFare may collect data from the devices you use to access the platform, such as IP addresses, browser type, search history, and geographical location.
· All collected data is used to provide better services and personalize the user experience. This information will not be shared with third parties without your consent, except in legally required situations.
5.2. Use of Personal Data
CanFare may use collected data for various purposes, including:
· Personalizing the User Experience: Using your personal information to tailor services, including special offers, discounts, and advertising based on your interests.
· Communication with Users: CanFare may contact you via email, SMS, or in-app notifications. These communications can include policy updates, special discounts, and surveys.
· Data Analysis: Using the data to analyze usage trends, enhance system performance, and identify potential issues.
5.3. Data Security
CanFare utilizes advanced encryption technologies to protect users' personal and payment information. All data is stored and processed in secure databases according to global standards. CanFare implements sophisticated security measures to prevent unauthorized access, hacking, or data theft.
5.4. Sharing Information with Third Parties
CanFare does not share your personal information with anyone except in the following cases:
· Strategic and Business Collaborations: With third-party partners who help process payments, provide advertisements, or other related services for CanFare.
· Legal Compliance: When required to disclose information to comply with laws or respond to legal requests (such as from judicial authorities).
· All third parties receiving your information are obligated to comply with privacy and security regulations.
5.5. Prohibited Activities
User Conduct Rules: You agree not to engage in any of the following prohibited activities:
· Violating any law, regulation, or contractual obligation.
· Using services for any unauthorized purpose or in any way that could damage, disable, overload, or impair the service.
· Harassing, threatening, or deceiving other users or drivers.
· Uploading, distributing, or sending any offensive, misleading, or harmful content.
5.6. Background Checks
We reserve the right to conduct background checks, including criminal records, driving violations, and other information necessary to ensure the safety and security of our services. By registering and using our services, you agree to provide the necessary information for these checks if needed and consent to such background checks. If any violations or non-compliance with the terms and conditions are identified through these checks, we reserve the right to suspend or terminate the user's account.

6. Responsibilities and Limitations

6.1. User Responsibilities
· Legal Use of Services
You agree to use CanFare's services only for legal purposes and in an appropriate manner. You shall refrain from any illegal activities or actions that infringe upon the rights of others. You must not use CanFare's services for committing crimes, violating intellectual property rights, fraud, or activities that harm the platform, other users, or any third parties.
· Accurate and Up-to-date Information
You are committed to ensuring that all information you provide toCanFare, including personal, payment, location, and other details, is accurate, complete, and up-to-date. You are responsible for maintaining the security and confidentiality of your account information and preventing unauthorized use.
· Account Usage and Performance
You are responsible for all activities carried out under your account. This includes all trips, financial transactions, and other actions related to your account. If you suspect any unauthorized activity, you must immediately report it to CanFare.
· Platform Usage Limitations
You must use CanFare's services within the limitations specified in this agreement and the company's policies. This includes restrictions on the number of requests, usage of specific platform features, and adherence to behavioral standards in interactions with other users.
· Liability for Damages
You are responsible for any direct or indirect damages, including but not limited to damage to devices, software, data, or any economic loss caused by violations of CanFare's terms of service.
6.2. CanFare's Responsibilities
· Service Provision and Platform Access
CanFare strives to provide its services continuously and without interruptions. However, due to the nature of technology and infrastructure, technical issues or disruptions in platform access may occur. CanFare will not be responsible for any damages or losses caused by such disruptions.
· Service Limitations
CanFare may change or limit some features or services from time to time. Such changes will be communicated clearly through the platform or via email notifications to users. CanFare will not be liable for any damage or loss arising from changes or limitations to access to certain services.
· Limitation of Liability
CanFare will not be responsible for any indirect, special, incidental, or consequential damages resulting from the use or inability to use its services. This includes damages resulting from service deficiencies, access to incorrect information, or the use of user data.
· Third-party Services
If CanFare refers you to use third-party services (such as payment gateways or map-related services), CanFare will not be responsible for the quality, access, or performance of these third-party services. It is your responsibility to read and comply with the terms and conditions of these third parties.
· Data Security and Information Protection
CanFare employs advanced technologies to protect user data and ensure data security. However, CanFare will not be liable for hacking, unauthorized access, or information disclosure due to factors outside its control.
6.3. Liability Limitations for Drivers and Passengers
· Liability Regarding Driver Agreements
As a facilitating platform, CanFare is not responsible for direct agreements between drivers and passengers. All agreements, financial matters, behavior, and interactions between drivers and passengers are their own responsibility. CanFare merely facilitates and holds no responsibility for any disputes or issues between the parties.
· Driver Responsibility for Travel Safety
Drivers are required to comply with all traffic laws and safety regulations. CanFare is not liable for accidents, injuries, or issues that may arise during a trip.
6.4. Limitation of Liability to the Maximum Extent Permitted by Law
We will not be responsible for any indirect, incidental, special, consequential, or punitive damages, or any loss of profit or revenue, whether direct or indirect, or any loss of data, use, goodwill, or other intangible losses resulting from:
· Your use or inability to use the services;
· Unauthorized access to or use of our servers and/or any personal information stored there;
· Any interruption or suspension of transmission to or from the services;
· Any defect, virus, trojan, or similar issue transmitted by a third party through our services;
· Any errors or omissions in any content or any loss or damage resulting from the use of any content submitted, emailed, transmitted, or otherwise made available through the services.

7. Dispute Resolution

7.1. General Conditions for Dispute Resolution
In case of any dispute between you and CanFare or between you and other platform users, the primary and most important step in resolving these disputes is attempting to reach an amicable settlement through negotiation. This method is usually faster and less costly than other legal options. Both you and CanFare are committed to cooperating in resolving issues in a friendly manner and as quickly as possible.
7.2. Dispute Resolution Process
I. Initial Negotiation
If a dispute arises between you and CanFare or between you and other users, the first step is to attempt to resolve the dispute through direct and friendly negotiation. This process typically involves each party presenting the issue and trying to find a mutually acceptable solution based on the other party's conditions. Negotiations may take place via phone, email, or in-person meetings.
II. Use of Legal Advisor and Mediation
If direct negotiation does not resolve the dispute, the parties may choose to use the services of a legal advisor or mediator. At this stage, both parties agree to appoint a neutral third party (mediator) to facilitate negotiations between them. The mediator can assist both parties in reaching a fair and acceptable agreement. If a legal advisor is involved, the advisor may suggest solutions or recommendations to resolve the issue.
III. Referral to Judicial and Arbitration Authorities
If none of the above methods prove effective, you and CanFare agree to refer the dispute to judicial authorities. These authorities will resolve the dispute according to local or international laws. Additionally, disputes may be resolved through arbitration. Arbitration is a method of resolving disputes outside of court by one or more independent arbitrators chosen by the parties. The outcome of arbitration is binding for both parties.
IV. Arbitration Rules
In the case of arbitration, you and CanFare agree that arbitration will be conducted according to international laws and recognized arbitration procedures. The arbitration will take place at a specific location and according to an agreed schedule and conditions. All expenses related to the arbitration process will be divided equally between the parties unless otherwise specified. The results of the arbitration will be binding, and neither party will have the right to appeal the decision.
7.4. Commitment to Cooperation and Transparency in Dispute Resolution
You and CanFare are committed to fully cooperating in the dispute resolution process in a transparent manner. This commitment includes providing documentation, information, and any evidence that may be relevant to resolving the dispute. Both parties must make all information related to the dispute available to the other party to ensure that the dispute resolution process proceeds efficiently and promptly.
7.5. Dispute Resolution Costs
All costs related to arbitration, mediation, and legal consultation will be equally divided between the parties, unless they agree otherwise. Any additional costs incurred by either party for attending arbitration or judicial sessions will be borne separately by that party. If the dispute resolution decision is in favor ofCanFare, the opposing party must cover all costs incurred byCanFare.

8. Other Provisions

8.1. Changes to Terms and Conditio
I. Right to Change Terms and Conditions
CanFare reserves the right to change the terms and conditions of using the platform, either in whole or in part, at any time. These changes may include modifications to privacy policies, payment methods, new features, or any other changes. If any changes are made to the terms and conditions, CanFare will notify you through email or notices posted on the platform. The new changes will automatically apply to all users once officially published.
II. Notification of Changes
CanFare will make efforts to properly notify users of changes, but it is your responsibility to regularly review the terms and conditions to stay informed of any potential changes. By continuing to use CanFare's services after the changes are announced, you agree to abide by the new terms.
8.2. Transfer of Rights and Responsibilities
I.Transfer of Rights to CanFare
CanFare has the right to transfer its rights and responsibilities under this agreement to any person or entity without your consent. This transfer may include the assignment of intellectual property rights, data, or any other executive responsibilities.
II. No Transfer of Rights to You
You are not allowed to transfer your rights under this agreement to any person or entity. This includes transferring your account to another person, granting access to your account, or selling or renting services to others.
8.3. Entire Agreement
This agreement represents the entire understanding and agreement between you and CanFare regarding the use of the platform's services. This agreement replaces any prior or current agreements and automatically cancels any previous oral or written agreements made between the parties.
8.4. Severability of Clauses
If any part of this agreement is found to be illegal, invalid, or unenforceable, that part will be separately voided, and this voiding will not affect the validity and enforceability of the remaining parts of the agreement.
8.5. Language and Jurisdiction
This agreement is written in English and will be interpreted and enforced under the laws of Canada. If there is any conflict between versions of this agreement, the English version will prevail. Any legal or judicial actions related to this agreement must be pursued in the competent courts of Ontario.
8.6. Force Majeure
CanFare is not responsible for any failure to fulfill its obligations under this agreement due to events beyond its control. These events include war, natural disasters, political crises, social unrest, global emergencies like pandemics, or any other unforeseeable factors.
8.7. Confidential Information
All your personal and sensitive information collected by CanFare will be protected in accordance with privacy policies and applicable laws. However, CanFare may need to share certain basic identity information between passengers and drivers (such as name, last name, nickname, vehicle type, license plate number, car color, and your earned ratings) to ensure a safe and accurate trip. You are responsible for protecting the security of your account information and should avoid disclosing it to others.
You agree not to store or disclose any information you receive about other individuals within CanFare. Any release of information such as users' names, images, or other personal details will be considered a violation of their privacy and non-compliance with this agreement.CanFare reserves the right to take legal action if necessary.
